1. Agreement to Terms

By accessing or using the services provided by TechCare Partners, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Description

TechCare Partners provides IT solutions and services including but not limited to cloud solutions, cybersecurity, software development, managed services, IT consulting, and DevOps automation. The specific services provided will be outlined in individual service agreements or statements of work.

3. Use License

Permission is granted to temporarily access the materials and services provided by TechCare Partners for personal or commercial use. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials without authorization
  • Use the materials for any commercial purpose without a service agreement
  • Attempt to decompile or reverse engineer any software provided by TechCare Partners
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or mirror the materials on any other server

4. Service Level Agreement

TechCare Partners strives to maintain high availability and performance of our services. Specific uptime guarantees, response times, and support levels will be detailed in individual service agreements. We reserve the right to temporarily suspend services for maintenance, updates, or emergency repairs with reasonable notice when possible.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Maintain the confidentiality of account credentials and access information
  • Notify TechCare Partners promptly of any unauthorized use of services
  • Comply with all applicable laws and regulations in connection with use of services
  • Make timely payments as outlined in service agreements
  • Provide reasonable cooperation and access necessary for service delivery

6. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges and suspension of services. All fees are non-refundable unless otherwise specified in the service agreement.

7. Intellectual Property

All intellectual property rights in the services, software, documentation, and materials provided by TechCare Partners remain the property of TechCare Partners or its licensors. Custom work products created specifically for a client may be subject to separate intellectual property agreements as specified in the service agreement.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of services and continues for a period specified in the service agreement or indefinitely for trade secrets.

9. Limitation of Liability

To the maximum extent permitted by law, TechCare Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

10. Warranty Disclaimer

The services are provided on an "as is" and "as available" basis. TechCare Partners makes no warranties, expressed or implied, and hereby disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

11. Termination

Either party may terminate services in accordance with the terms specified in the service agreement. Upon termination, all rights and licenses granted to you will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

12. Modifications to Terms

TechCare Partners reserves the right to modify these terms at any time. We will provide notice of material changes through our website or via email. Your continued use of services after such modifications constitutes your acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TechCare Partners operates, without regard to its conflict of law provisions. Any disputes arising from these terms or the services shall be resolved through binding arbitration or in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
